BlackBerry® Developer Challenge 2011 - Competition for the Best Adobe Flash®/Adobe Mobile AIR App for BlackBerry® PlayBook (the "Competition")

Official Rules for the Competition (the "Agreement")

NO PURCHASE NECESSARY.

This Competition is subject to federal, state/provincial, and local laws. This Competition is void where it is prohibited or restricted by law.

Please read the terms and conditions of this Agreement carefully.

By submitting and participating in the Competition, you agree to be bound by the terms and conditions of this Agreement.

TERMS AND CONDITIONS:

1            PROMOTION PERIOD

The Competition will take place from 12:01 AM EST on April 28, 2011 to 11:59 PM EST on August 12, 2011 (the "Submission Period").

2            PROMOTION ORGANIZERS The BlackBerry® Developer Challenge 2011 sponsor is BlackBerry Partners Fund ("BBPF").

3            ELIGIBILITY

The Competition is open only to those who have registered and been accepted by Research In Motion Limited as a BlackBerry App World developer and are submitting a BlackBerry application for Adobe Flash or Adobe AIR for the BlackBerry PlayBook (each an "Application").

In order to be eligible, developers must be individuals resident, or entities located, within one of the four regions listed below. For the purposes of the Competition, submissions will be categorized and judged according to the following geographic regions where the submitted Application is available for sale (each a "Region"):

  • Asia Pacific, excluding North Korea ("APAC")
  • Latin America, including Mexico ("LATAM"),
  • Europe - Middle East - Africa ("EMEA"), and
  • North America - Canada (excluding Quebec) and United States, excluding Mexico - ("NA")

If the Application is available for sale in multiple regions, categorization will be at the discretion of the Competition judges. The geographical borders of a Region are determined at the sole discretion of BBPF.

Each Application must be submitted to BlackBerry App World and will need to meet the BlackBerry App World Vendor Guidelines https://appworld.blackberry.com/isvportal/home/guidelines.seam. See further details in Section 4.

Individual developers must be over the age of majority in the province, territory or state in which they reside in order to participate in the Competition.

Both newly developed and existing Applications are eligible to enter the Competition.

Employees, contractors, directors and officers, agents and representatives of BBPF, and their subsidiaries and affiliated companies and the immediate family members (parent, child, sibling and spouse of each) of these individuals and those with whom any such persons reside are not eligible to participate in the Competition.

Employees, contractors, directors and officers of Research In Motion ("RIM") and its subsidiaries and affiliated companies and the immediate family members (parent, child, sibling and spouse of each) of these individuals and those with whom any such persons reside are not eligible to participate in the Competition.

Employees, contractors, directors and officers of companies which BBPF has invested in, and subsidiaries and affiliated companies of these companies, and the immediate family members (parent, child, sibling and spouse of each) of these individuals and those with whom any such persons reside are not eligible to participate in the Competition.

Judges of the Competition and those with whom they reside are not eligible to participate in the Competition.

4            HOW TO ENTER To enter the Competition ("Registration"):

i. You must register and be accepted by Research In Motion Limited as a BlackBerry App World developer (registration is available at https://appworld.blackberry.com/isvportal/home/login.seam?pageIndex=1&cid=255623    ("Vendor Portal") and is subject to the BlackBerry App World Vendor Agreement); and you must have agreed to the BlackBerry® SDK License Agreement, and if applicable, any other terms and conditions required for participation on BlackBerry App World. The Application must comply with the BlackBerry App World Vendor Guidelines ("Guidelines"), available at https://appworld.blackberry.com/isvportal/home/guidelines.seam?pageIndex=1&cid=255623. As you start the Application submission process, a BlackBerry App World ID is automatically created for you on your behalf in the BlackBerry App World Vendor Portal product wizard. This ID can also be found in the Vendor Portal under 'Manage Products' and then by selecting 'Edit' next to the Application name. This ID must be referenced in the Competition submission form when submitting your Application to the Competition.

ii. During the Submission Period go to http://www.blackberrypartnersfund.com/challenge to learn about the Competition and apply by completing the submission form on this page. You will require a BlackBerry App World Application ID# for each Application submitted to the Competition.

If your Application is not free to the user and requires a username and password to login, applicants should prepare and provide BBPF with a list of ten "pre-registered" username/password logins so that the Application can be easily tested by our judges.

There is no limit on the number of Applications an applicant may submit during the Submission Period. Applicants may also submit multiple versions of each Application, however, no Application will be accepted after the Submission Period and the last version of an Application submitted during the Submission Period will be the one judged.

Providing you meet the eligibility criteria above, and have been successfully registered online during the Submission Period, your Application becomes qualified (a "Submission").

BBPF does not accept any responsibility for late, lost, delayed, corrupted, illegible or incomplete Registrations or Applications, which shall be disqualified at the sole discretion of BBPF without any right of appeal.

Please note that applicants should NOT include any information which is proprietary or confidential as none of the information submitted to BBPF for the purposes and in relation to the Competition will be treated as confidential information. By submitting an Application the applicant confirms that he, she or it holds all rights in connection with the Application and the content submitted.

5            SELECTION PROCESS

5.1 Selection Criterion

Submissions will be judged based on quality and use of development best practices, and level of visual appeal, user experience, creativity and innovation.

5.2 Submission Judging

All Submissions will be judged by 6:00 pm EST on September 30, 2011.

5.3 Competition Judging

Final judging will be by a panel of judges designated by RIM and BBPF.

One (1) grand prize winner, one (1) first runner-up, one (1) second-runner up will be selected in each Region according to the Selection Criteria noted above for a total of twelve (12) winners.

5.4 Announcement of the Competition Winners, First Runner Ups, Second Runner Ups

6            PRIZES

All prizes are valued in US Dollars. The prizes are made up of in-kind awards and merchandise. There is NO CASH AWARD. Prizes consisting of physical goods will be couriered to the winners within 21 days of September 30, 2011. Prizes consisting of non-physical goods and which require the winner to initiate a meeting, or apply electronically must be claimed within 30 days of November 30, 2011. Instructions on how to initiate the meeting or apply will be provided in the winner notification email sent to each respective winner.

The Competition Grand Prize Winners, First Runner Ups, Second Runner Ups will be notified by email no later than 6:00 P.M. Eastern Time on September 30, 2011, and their names will be posted on the

Competition website no later than 6:00 P.M. Eastern time on September 30, 2011.

BBPF reserves the right to announce the winners of the Competition by press release or at an event so long as the press release is issued or the event is held after the time of notification for the applicable category as described above.

Incentive prize packages: There are a total of 100 Incentive prize packages available to be awarded to the first 100 eligible Submissions made to the Competition, each consisting of:

  • One (1) App World carousel placement for a duration of 1 week
  • One (1) BlackBerry Smartphone

Approximate retail value of each Incentive Prize Package is $5,500. The odds of winning an Incentive Prize Package are dependant on time at which an Application is submitted and the number of Applications received during the Submission Period.

Competition Second Runner-Up: There are a total of four (4) Competition Second Runner-Up prize packages available to be won, one (1) per Region, each consisting of:

  • Two (2) Local DevCon conference passes
  • One (1) Media press package
  • One (1) App World carousel placement for a duration of 1 week
  • One (1) Associate level Alliance Membership
  • One (1) BlackBerry PlayBook
  • One (1) BlackBerry Smartphone
  • 1 x $100 BlackBerry accessory gift certificate (any and all terms and conditions associate with a BlackBerry gift certificate apply)

Approximate retail value of each Competition Second Runner-Up Prize Package is $9,097. The odds of winning a Second Runner-Up Prize Package are dependant on the total number of Applications received during the Submission Period and the ability of an Application to best satisfy the Selection Criterion noted above.

Competition First Runner-Up: There are a total of four (4) Competition First Runner-Up prize packages available to be won, one (1) per Region, each consisting of:

  • Two (2) Local DevCon conference passes
  • One (1) Media press package
  • One (1) App World carousel placement for a duration of 2 weeks
  • One (1) Select level Alliance Membership
  • One (1) BlackBerry PlayBook
  • Two (2) BlackBerry Smartphones
  • One (1) $500 BlackBerry accessory gift certificate (any and all terms and conditions associated with a BlackBerry gift certificate apply)

Approximate retail value of each Competition First Runner-Up Prize Package is $17,497. The odds of winning a First Runner-Up Prize Package are dependant on the total number of Applications received during the Submission Period and the ability of an Application to best satisfy the Selection Criterion noted above.

Competition Grand Prize Winner: There are a total of four (4) Competition Grand Prize Winner prize packages available to be won, one (1) per Region, each consisting of:

One (1) trip for two (2) including round trip economy class air transportation from an International airport closest to the Competition Grand Prize winner's place of residence to their local 2011 DevCon conference

Accommodation for duration of local 2011 DevCon conference based on double occupancy at a hotel to be chosen by BBPF

  • Two (2) tickets to attend local 2011 DevCon conference
  • One (1) Media press package
  • One (1) App World carousel placement for a duration of 3 weeks
  • One (1) Elite level Alliance Membership
  • One (1) BlackBerry PlayBook
  • Three (3) BlackBerry Smartphones
  • One (1) $1000 BlackBerry accessory gift certificate (any and all terms and conditions associated with a BlackBerry gift certificate apply)

Approximate retail value of each Incentive Award is $32,497. The odds of winning a Grand Prize Package are dependant on the total number of Applications received during the Submission Period and the ability of an Application to best satisfy the Selection Criterion noted above.

Competition Grand Prize Winners and his/her guest shall be responsible for all ground transportation travel (including to and from the airport and the Grand Prize Winner's home) and medical insurance for the duration of the trip, gratuities, all applicable taxes, flight taxes, surcharges and fuel surcharges, incidentals and any and all other expenses not specified in the description of the Grand Prize above. Each Grand Prize Winner and guest must travel together and depart from and arrive at the same airports. Each Winner and guest are responsible for ensuring that all travel documents (visas, passports, tourist cards, etc.) or proper identification for country of travel are in good order, and are valid prior to, and for the entire duration of, the Grand Prize trip. Travel insurance may be purchased at time of booking. No changes to travel dates or passenger names are permitted once the booking has been made. If a Grand Prize Winner's chosen trip guest is under the age of majority in the province/state or territory in which they reside, express consent must be obtained from any such minor guest's parent or legal guardian to participate in the Grand Prize trip. Any minor guests may be required to furnish proof to the BBPF of express parent/legal guardian permission to participate in the Grand Prize trip. All grand Prize trip guests must sign and return BBPF's standard declaration and release form in order to participate in the Grand Prize trip. Please note that a minor guest may not be able to attend all Devcon conference events. By signing and returning BBPF's standard declaration and release form, both the Grand Prize Winner and the parent or legal guardian of the minor guest accept responsibility to make alternative supervisory arrangements for the minor guest if he/she is unable to attend a Devcon conference event due to age restrictions.

7            GENERAL TERMS AND CONDITIONS

7.1 Verification of Entries. The validity of any Application is subject to verification by BBPF. Any illegible, incomplete or fraudulent Application will be rejected. Any applicant who enters or attempts to enter the Competition in a manner which is contrary to these rules or by its nature is unjust to other applicants, will be rejected. All decisions of BBPF with respect to any aspect of the Competition, including the eligibility or disqualification of applicants, are final, without right of appeal.

7.2 Communication of Winners. The names of the Winners, First Runner Ups, Second Runner Ups will be posted on the Competition website following selection of the winners of these judging rounds. By entering this Competition the applicant agrees to this information being posted on the Competition website.

7.3 Acceptance of Prize. The Prizes must be accepted as awarded. Prizes have no cash surrender value and cannot be substituted for another item or exchanged, except at the sole discretion of RIM and BBPF.

7.4 Substitution of Prize. If for any reason, BBPF is unable to award a Prize, or a portion of a Prize, as described in this Agreement, BBPF reserves the right at its sole discretion to award a prize of equivalent value.

7.5 Exclusion of Liability - General. By participating in this Competition, the applicant agrees to release and hold BBPF and RIM, their advertising and promotions agencies, parent companies, affiliates, subsidiaries, officers, directors, agents, and employees, harmless from any and all liability whatsoever for any injuries, losses or damages of any kind arising from participation in or in connection with the Competition.

7.6 Exclusion of Liability - Competition Operation. By entering the Competition, the applicant agrees to release and discharge BBPF from any and all liability resulting from any malfunction of any computer component, software or communication line, any loss or absence of network communication, any faulty, incomplete or unintelligible transmissions or any transmissions that are erased by any computer or network which could limit the applicant's opportunity to enter the Competition, or prevents the applicant from doing so.

7.7 Construction: This Competition, these Official Rules, and all issues and questions concerning these Official Rules or the rights and obligations of any applicant shall be governed by and construed in accordance with the laws of the Province of Ontario, without giving effect to its conflict of law rules or provisions. All applicants expressly agree to submit to the laws of and the jurisdiction of the courts of the Province of Ontario, and hereby waive the jurisdiction of any other court that now or in the future could be considered competent for any reason. All actions, proceedings or litigation relating to this Competition shall take place in the Province of Ontario. Competition applicants further hereby waive any right to a trial by jury with respect to any lawsuit or judicial proceeding arising or relating to this Competition. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

7.8 Modification. Subject to applicable law, BBPF reserves the right to modify, cancel, terminate or suspend the Competition in whole or in part, at its sole discretion, in the event of a virus, a computer bug or unauthorized human intervention or any other cause that is beyond the control of BBPF that could corrupt or affect the administration, security, impartiality or normal course of the Competition.

7.9 Taxes. Each Winner, First Runner Up, Second Runner Up is solely responsible for the payment of any taxes as may be required by the applicable taxing authority.

7.10 Registration Information. By completing and submitting the information requested in the course of the Competition to BBPF, the applicant confirms to BBPF that he or she is authorized to i) provide the requested information above to BBPF; ii) that the requested information provided is not considered confidential by the applicant or any third party for the purposes of BBPF's internal use and to facilitate participation in the Competition.

7.11 Privacy. By completing and submitting personal information to BBPF in connection with the Competition, the applicant consents to the collection, use, and disclosure of such information by BBPF for the purpose of administering and facilitating applicant's participation in the Competition and to contact the applicant, if necessary, in relation to the Competition. BBPF will not disclose any personal information to third parties without the consent of the applicant.

7.12 Publicity. By entering the Competition, the applicant consents to the use of his or her name, image, likeness and photograph, without compensation, in any publicity carried out in any media by or on behalf of the BBPF.

7.13 Release. Each Winner, First Runner Up, and Second Runner Up will each be required to sign a standard declaration and release form confirming compliance with this Agreement, acceptance of the prize as awarded and releasing BBPF and RIM, from all liability. In the event a selected applicant does not sign or return the appropriate release within seven (7) days of notification or refuses the prize, the applicant will forfeit the right to receive any prize as well as the right to participate in the Competition any further and another selected applicant will be chosen from the Submissions.
